BLACK VOXX – TERMS OF USE

These Terms of Use (the “Terms”) govern your access to and use of the Black VoXX websites, applications,

sweepstakes pages, and related services (collectively, the “Services”) operated by Black VoXX, Inc., a Delaware

corporation (“Black VoXX,” “we,” “us,” or “our”).

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT

USE THE SERVICES.

1. Eligibility

You must be at least 18 years of age and a legal resident of the United States to use the Services and/or participate in

any sweepstakes unless a specific sweepstakes states otherwise. Eligibility requirements may vary by sweepstakes

and are specified in the applicable Official Rules. Void where prohibited by law.

2. Relationship to Official Rules and Privacy Policy

Sweepstakes participation is governed by the applicable Official Rules for the relevant sweepstakes (“Official Rules”).

In the event of a conflict between these Terms and the Official Rules, the Official Rules control with respect to

sweepstakes participation. Your use of the Services is also subject to our Privacy Policy.

3. Accounts and Security

Some features may require you to create an account or provide contact information. You agree to provide accurate

information and to keep it current. You are responsible for maintaining the confidentiality of your credentials and for all

activity under your account. Notify us immediately of any unauthorized use or suspected breach of security.

4. Permitted Use; Prohibited Conduct

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• violate any applicable law, regulation, or rule;

• attempt to gain unauthorized access to the Services, accounts, systems, or networks;

• interfere with, disrupt, or degrade the Services (including by introducing malware, bots, scraping, or automated

entry);

• submit false information, impersonate another person, or misrepresent your identity;

• exploit, manipulate, or attempt to manipulate sweepstakes entry, selection, verification, or fulfillment processes;

• engage in chargeback abuse or intentionally dispute legitimate transactions;

• use the Services for fraudulent, deceptive, or abusive conduct;

• violate the rights of others, including privacy, publicity, or intellectual property rights.

5. Sweepstakes; No Purchase Necessary

We may offer one or more sweepstakes through the Services. NO PURCHASE IS NECESSARY TO ENTER OR

WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. Entry methods (including any

Alternative Method of Entry (“AMOE”)) are described in the applicable Official Rules and/or the No Purchase

Necessary page. Void where prohibited by law.

6. Purchases, Billing, and Authorizations

Certain Services may allow you to purchase sweepstakes entries, subscriptions, or other digital goods. By submitting

payment information, you authorize us (and our payment processors) to charge the payment method you provide for

the amounts you select, including applicable taxes and fees, and to store your payment method for future charges

where you affirmatively enroll in a recurring program.

Black VoXX is not responsible for overdraft fees, insufficient funds charges, charge declines, or other fees imposed by

your financial institution.

7. Subscriptions (If Offered)

If we offer subscriptions that provide entries or benefits on a recurring basis, subscription terms (pricing, billing

frequency, included benefits, cancellation instructions) will be disclosed at sign-up. By enrolling, you authorize

recurring charges until you cancel. Cancellation takes effect at the end of the current billing period unless otherwise

stated. Subscription benefits do not guarantee winning and remain subject to the Official Rules and eligibility

requirements.

8. Refunds; Chargebacks; Disputed Transactions

Except where required by law, purchases of entries and digital goods are generally final. If you believe a transaction is

unauthorized or erroneous, you must contact us promptly through the contact methods listed on our website so we

can investigate and attempt resolution.

Initiating a chargeback or payment dispute without first contacting us to resolve the issue may result in suspension or

termination of your account and/or disqualification from participation, as permitted by law and the Official Rules. We

reserve the right to provide evidence to payment networks, banks, and processors to contest invalid chargebacks.

9. Winner Verification; Compliance

We may require identity verification, eligibility verification, and tax documentation for winners or potential winners.

Failure to respond within the time specified in the Official Rules, or failure to provide required documentation, may

result in disqualification and forfeiture of the prize.

10. Intellectual Property

The Services and all content, trademarks, service marks, logos, designs, text, graphics, images, audio, video,

software, and other materials made available by us are owned by or licensed to Black VoXX and are protected by

intellectual property laws. Except as expressly permitted, you may not copy, modify, reproduce, distribute, create

derivative works, publicly display, or exploit any portion of the Services without our prior written consent.

11. User Content (If Applicable)

If the Services allow you to submit content (“User Content”), you grant Black VoXX a non-exclusive, worldwide,

royalty-free, sublicensable license to use, host, store, reproduce, modify, publish, display, and distribute such User

Content in connection with operating and promoting the Services, subject to our Privacy Policy. You represent and

warrant you have all rights necessary to grant this license and that your User Content does not violate law or

third-party rights.

12. Third-Party Services and Links

The Services may contain links to third-party websites or services. We do not control and are not responsible for

third-party content, policies, or practices. Access third-party services at your own risk.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY

LAW, BLACK VOXX DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THE AVAILABILITY OF ANY PRIZE, EXPERIENCE, OR CELEBRITY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BLACK VOXX OR ITS OFFICERS,

DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT,

INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF

PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO

YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH

DAMAGES.

BLACK VOXX’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO

BLACK VOXX IN THE THREE (3) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US

$100).

15. Indemnification

You agree to defend, indemnify, and hold harmless Black VoXX and its officers, directors, employees, agents,

affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses

(including attorneys’ fees) arising from your use of the Services, participation in any sweepstakes or prize experience,

violation of these Terms, or violation of any law or third-party rights.

16. Suspension; Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have

violated these Terms, the Official Rules, or applicable law, or if your conduct poses risk to the Services, users, or our

business.

17. Changes to the Services and Terms

We may modify or discontinue the Services at any time. We may update these Terms by posting a revised version on

our website. Continued use after posting constitutes acceptance of the updated Terms.

18. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any

disputes shall be brought exclusively in state or federal courts located in Delaware unless arbitration is required.

19. Arbitration and Class Action Waiver

To the maximum extent permitted by law, Black VoXX may require disputes to be resolved by binding arbitration on

an individual basis and not as part of any class or representative action.

20. Survival; Miscellaneous

Survival: Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute

resolution, and governing law shall survive termination.

Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Entire Agreement: These Terms, together with the Privacy Policy and applicable Official Rules, constitute the entire

agreement between you and Black VoXX regarding the Services.
